Course Content
The course deals with banking law (the bank as an enterprise; the supervision on the banks; the crisis) and financial market law (with particular regard to listed companies and their governance)

Learning Objectives
- knowledge of the general principles of banking law and financial market law. Knowledge of the regulation of listed companies;
- ability to move within the discipline of banking and financial markets, having acquired the fundamental bases to be able to understand a constantly evolving regulation and on which the role of the Supervisory Authorities has a profound effect. Understanding the importance that banks and other financial market operators currently play;
- competences: critical understanding of the banking and financial market discipline and of the rules that regulate the behavior of issuers and intermediaries, also in the perspective of investor protection. Attitude to critically analyze concrete cases, also through classroom discussion;
- knowledge of the general principles of banking law and financial market law. Knowledge of the discipline of investment services, appeal to the public savings and listed companies.
Prerequisites
This cours is subject to the successful completion of exams "Constitutional law I" and "Civil law I".
Teaching Methods
Lectures. Cases analysis with oral report of the students.
Case studies and samples of legal documents will be analysed during the course.

Type of Assessment
oral test:
the exame will have oral form and it will be made by 2/3 questions. The oral examination consists of two or three broad questions (advise against role learning), besides possible more specific questions, whenever this is required to better evaluate the candidate.
During the examination the candidates will have to show ability to find and discuss the relevant rules for the matter (primarily, the Civil Code), which they will be allowed to read.
It is also necessary to show ability to master the general rules of Private law on which Commercial law is based.
